1

Agreement to These Terms

By accessing the website, creating an account, placing an order, downloading a product, accepting digital delivery, or using a Bright Careers service, you agree to these Terms and the policies referenced in them.

If you purchase or act on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not purchase or use the relevant product or service.

2

Who May Use or Purchase

You must be at least 18 years old and legally capable of entering into a binding contract.

Our products and services may be intended for individuals, professionals, businesses, employers, consultants, creators, educators, or other organizations, depending on the specific offer.

You are responsible for ensuring that your purchase and use are lawful in your country and appropriate for your circumstances.

3

Products and Services

Bright Careers may offer:

  • Digital products and downloadable resources
  • Templates, guides, workbooks, and documents
  • Automated workflows and implementation materials
  • Prompts, frameworks, dashboards, and digital tools
  • Courses, training materials, and educational resources
  • Memberships, subscriptions, or access-based products
  • Setup, customization, implementation, and configuration services
  • Consulting, advisory, and support services
  • Other related products and services

The specific description, features, inclusions, limitations, delivery method, price, and support level for an order will be shown on the relevant sales page, checkout page, order confirmation, proposal, or written scope.

Those specific order details form part of your agreement with Bright Careers.

If there is a direct conflict between these general Terms and a specific written order description, the specific written order description will apply to that order.

4

Orders, Prices, Taxes, and Payment

Prices and payment terms are displayed before you complete an order.

A purchase may be:

  • A one-time payment
  • A recurring subscription
  • An installment arrangement
  • A deposit followed by additional payments
  • A custom price confirmed in writing

The applicable payment structure will be clearly identified before purchase.

Prices may be displayed in different currencies. Your bank or payment provider may apply currency conversion fees, processing fees, or other charges that are outside our control.

Applicable taxes will be shown, collected, or handled as required by law.

You must provide accurate billing and contact information.

Orders are subject to successful payment authorization and reasonable fraud-prevention checks.

We may refuse or cancel an order where:

  • Payment is unsuccessful
  • The transaction appears unauthorized or fraudulent
  • The product or service is unavailable
  • An obvious pricing or description error has occurred
  • Fulfilling the order would be unlawful
  • The customer has previously misused our products or services

If we cancel a paid order before delivering the product or beginning the service, we will refund the amount paid for the cancelled order.

5

One-Time Purchases and Subscriptions

Unless the sales page or checkout clearly states that a payment will recur, the purchase is a one-time payment.

Where Bright Careers offers a subscription, membership, automatic renewal, free trial, or other recurring arrangement, the checkout information will identify:

  • The amount to be charged
  • The billing frequency
  • When billing will begin
  • Any trial or introductory period
  • How the subscription renews
  • How it can be cancelled
  • When cancellation takes effect

By purchasing a recurring plan, you authorize the applicable recurring charges until the subscription is cancelled.

Cancellation normally prevents future renewal charges and does not automatically refund amounts already paid, unless required by law or stated in the Refund Policy.

Bright Careers will not treat your silence as agreement to a recurring payment unless the recurring arrangement was clearly disclosed and affirmatively accepted.

6

Delivery and Access

Digital products may be delivered through:

  • A download page
  • Email
  • A customer account
  • A cloud storage link
  • An online course or membership platform
  • Another electronic delivery method described at checkout

You are responsible for providing an accurate email address and checking spam, junk, promotional, and filtered folders.

Delivery is generally considered complete when the product, access link, files, login details, or instructions are sent or made available to the email address or account connected to the order.

You should download, copy, or securely save purchased materials where permitted and maintain your own backup.

Access links may be changed, replaced, restricted, or removed for security, abuse prevention, product migration, platform changes, or technical reasons.

Where reasonably possible, we will help a legitimate customer restore access after verifying the purchase.

Some products may require an internet connection, compatible software, a supported device, or an account with a third-party platform. These requirements will be described where reasonably practical.

7

Digital Content and Immediate Delivery

Digital products are often delivered immediately after payment.

Where applicable consumer law provides a cancellation or withdrawal period, we may ask you to:

  • Request that digital delivery begin immediately
  • Consent to receiving access before the cancellation period ends
  • Acknowledge that your cancellation right may be lost once digital delivery begins

Where these requirements apply, the relevant consent and acknowledgement should be collected during checkout or before delivery.

This section does not remove any legal right relating to digital content that is faulty, misdescribed, inaccessible, or otherwise not supplied as required by applicable law.

8

License to Use Digital Products

Unless a different license is stated in the relevant product description, Bright Careers grants the purchaser a limited, non-exclusive, non-transferable, and revocable license to use the purchased product for personal use or internal organizational use.

This license permits you to:

  • Download and access the purchased materials
  • Make reasonable internal copies
  • Adapt editable materials for your own personal or internal business use
  • Share materials internally with employees or contractors who need them for the permitted purpose

The license does not transfer ownership of the product or its underlying intellectual property.

A purchase does not automatically provide resale rights, redistribution rights, commercial licensing rights, white-label rights, or permission to share the product outside the purchasing individual or organization.

Any broader license must be expressly confirmed in writing.

9

Prohibited Use

Unless Bright Careers provides written permission, you must not:

  • Resell, sublicense, redistribute, publish, or commercially share a product
  • Upload purchased materials to a public website, shared drive, marketplace, membership library, or file-sharing platform
  • Share download links, account credentials, templates, automation files, prompts, guides, dashboards, or course materials outside the permitted users
  • Reproduce a substantial part of a Bright Careers product within a competing product or service
  • Use our products to create a substantially similar template, course, toolkit, marketplace listing, or commercial resource for resale
  • Remove copyright, trademark, ownership, license, or attribution notices
  • Use the website, products, or services unlawfully, fraudulently, deceptively, or discriminatorily
  • Introduce malware, harmful code, or unauthorized automated access
  • Attempt to gain unauthorized access to our website, customer accounts, files, systems, or connected platforms
  • Interfere with the security, performance, or availability of the website or services
  • Misrepresent your relationship with Bright Careers
  • Use our products or services in a way that violates another person’s rights

We may investigate suspected misuse and suspend access where reasonably necessary.

10

Services, Setup, and Custom Work

Where you purchase setup, customization, implementation, consulting, design, configuration, or another service, the scope will be based on the description shown at purchase or confirmed in writing.

You agree to provide accurate information, materials, decisions, access, and feedback reasonably required to perform the service.

The service may depend on information, accounts, approvals, or access provided by you.

You are responsible for reviewing and approving:

  • Requirements and instructions
  • Content and data
  • Branding and design choices
  • Configuration settings
  • Evaluation or decision criteria
  • Workflows and automation logic
  • Final deliverables

Delays in providing information, access, content, decisions, or approvals may extend the delivery schedule.

Additional revisions, new requirements, additional products, additional workflows, major scope changes, or work outside the agreed scope may require an additional fee.

Unless otherwise stated, revisions are limited to reasonable corrections and adjustments within the agreed scope. They do not include unlimited redesign, redevelopment, or expansion.

Temporary access should be limited to the minimum permissions reasonably needed and removed after the service is completed.

11

Customer Content and Materials

You retain ownership of content, files, data, branding, documents, instructions, and other materials that you provide to Bright Careers.

You grant Bright Careers a limited permission to access, copy, process, modify, and use those materials only as reasonably necessary to:

  • Fulfil your order
  • Deliver the requested service
  • Provide support
  • Maintain security
  • Comply with legal obligations

You confirm that you have the necessary rights and permissions to provide the materials and allow us to use them for the requested purpose.

You must not provide content that:

  • Infringes intellectual property rights
  • Breaches confidentiality obligations
  • Violates privacy or data protection law
  • Contains unlawful, harmful, or malicious material
  • You are not authorized to use or disclose

Bright Careers is not responsible for claims caused by materials supplied without the necessary authorization.

12

Personal Data Provided by Customers

Some products and services may allow you to collect, upload, connect, organize, or process information relating to employees, candidates, customers, clients, students, subscribers, contractors, or other individuals.

You are responsible for:

  • Determining what information should be collected
  • Establishing an appropriate legal basis
  • Providing required privacy notices
  • Obtaining any required consent
  • Collecting only information that is necessary
  • Protecting sensitive and confidential information
  • Setting appropriate access and retention periods
  • Responding to privacy rights requests
  • Complying with applicable privacy, employment, education, consumer, and artificial intelligence laws

Where Bright Careers receives personal data solely to provide setup, configuration, troubleshooting, or support, we will use it only as reasonably necessary to provide that service.

Where required, Bright Careers and the customer may enter into a separate data processing agreement.

Our handling of personal information is also governed by the Bright Careers Privacy Policy.

13

Customer Responsibilities

You are responsible for:

  • Reviewing product descriptions before purchase
  • Confirming that the product or service meets your needs
  • Maintaining compatible devices, software, and accounts
  • Securing your passwords, accounts, files, and systems
  • Maintaining appropriate backups
  • Testing products, templates, formulas, workflows, and automations before live use
  • Checking outputs for accuracy, completeness, suitability, and fairness
  • Obtaining required third-party subscriptions, credits, permissions, or licenses
  • Complying with laws and professional requirements that apply to your use
  • Making final decisions based on appropriate human judgment
  • Preventing unauthorized access, sharing, or redistribution

You should not rely on a template, automated workflow, AI output, calculation, or general educational resource without reviewing whether it is suitable for your particular circumstances.

14

Artificial Intelligence and Automated Tools

Some Bright Careers products or services may use or connect with artificial intelligence, automated processing, formulas, scoring systems, or decision-support tools.

These tools may assist with:

  • Organizing information
  • Drafting content
  • Producing summaries
  • Evaluating information
  • Generating recommendations
  • Automating repetitive processes
  • Supporting analysis or decision-making

Artificial intelligence and automated systems can produce incorrect, incomplete, inconsistent, outdated, or biased outputs.

Results may be affected by:

  • The information provided
  • Instructions and criteria
  • Data quality
  • Missing information
  • File format
  • Language
  • System configuration
  • Third-party model behavior
  • Platform changes

You must review and verify outputs before relying on them.

Unless expressly stated otherwise, Bright Careers products are intended to support human judgment and should not be used as the sole basis for a decision that creates legal, financial, employment, educational, medical, or similarly significant consequences.

You remain responsible for:

  • Final decisions
  • Human review
  • Correcting errors
  • Avoiding unlawful discrimination
  • Providing required notices or explanations
  • Complying with laws governing automated decisions or artificial intelligence

Bright Careers does not guarantee that an AI-enabled product will satisfy every legal, regulatory, professional, or internal policy requirement.

15

Third-Party Platforms and Services

Bright Careers products and services may rely on, connect with, or refer to third-party platforms.

These may include:

  • Payment providers
  • Website hosts
  • Cloud storage platforms
  • Email services
  • Productivity software
  • Automation platforms
  • Artificial intelligence providers
  • Analytics providers
  • Course or membership platforms
  • Other external services

Third-party platforms are governed by their own terms, privacy policies, pricing, usage limits, availability, and technical requirements.

Bright Careers does not control and is not responsible for:

  • Third-party outages
  • Account restrictions
  • Data practices
  • Pricing changes
  • Usage limits
  • Feature changes
  • Security incidents
  • Model outputs
  • Policy changes
  • Discontinuation of a service

We may update instructions, replace an integration, or recommend an alternative where reasonably possible, but we cannot guarantee that every third-party platform will remain available or unchanged.

16

Support and Updates

The type, duration, and scope of support included with a purchase will be stated on the sales page, checkout page, order confirmation, proposal, or onboarding communication.

Support may include reasonable assistance with:

  • Accessing purchased materials
  • Installation
  • Initial setup
  • Configuration
  • Correcting delivery problems
  • Understanding product instructions

Unless specifically included, support does not include:

  • Unlimited consulting
  • Custom development
  • Ongoing administration
  • Recruitment or operational outsourcing
  • Legal, financial, tax, or regulatory advice
  • Extensive data migration
  • Rebuilding customer systems
  • Work outside the purchased scope

We may improve or update products over time.

Unless expressly included in the purchase, a customer is not automatically entitled to every future update, new version, new feature, expanded service, or separately released product.

17

Intellectual Property

Bright Careers and its licensors retain all intellectual property rights in:

  • The Bright Careers name, logo, and branding
  • Website content and design
  • Digital products and downloadable materials
  • Templates, frameworks, prompts, guides, and workbooks
  • Courses, lessons, and educational materials
  • Dashboards, formulas, systems, and automation logic
  • Written, visual, audio, and video content
  • Original product structures and designs

Customer-owned content, data, branding, and materials remain the customer’s property.

Any feedback, suggestion, or general improvement idea you voluntarily provide may be used to improve Bright Careers products and services, provided that we do not publicly identify you or disclose your confidential information without permission.

18

Confidentiality

When providing a service, either party may receive non-public information belonging to the other party.

Each party agrees to use reasonable care to protect confidential information and to use it only for the purpose for which it was provided.

Confidential information does not include information that:

  • Was already lawfully known
  • Becomes public without a breach of these Terms
  • Is received lawfully from another source
  • Is independently developed
  • Must be disclosed by law or lawful authority

Where disclosure is legally required, the receiving party may disclose only the information reasonably required.

19

Refunds, Cancellations, and Consumer Rights

Refunds and cancellations are governed by the Bright Careers Refund Policy and any specific terms shown at checkout.

Nothing in these Terms removes or restricts a legal right that cannot lawfully be excluded.

Depending on the applicable law and the nature of the purchase, you may have rights relating to:

  • Cancellation or withdrawal
  • Faulty or inaccessible digital content
  • Products that do not match their description
  • Services not performed with reasonable care and skill
  • Repair, replacement, repeat performance, or price reduction
  • Refunds required by consumer law

Where a service has already begun at your request during a legal cancellation period, you may be responsible for the proportion of the service already provided where permitted by law.

Customized, personalized, completed, or immediately delivered products and services may be subject to different cancellation rules where permitted by applicable law.

20

Availability, Changes, and Discontinuation

We may update, improve, replace, rename, reorganize, or discontinue website features, products, services, or delivery methods.

We will not intentionally make a material reduction to a completed purchase without providing an appropriate alternative or remedy where required.

We may withdraw a product from future sale without affecting licenses already granted, subject to technical availability, security, third-party platforms, and the specific terms of the purchase.

Temporary interruptions may occur because of maintenance, technical issues, security events, hosting problems, or circumstances outside our reasonable control.

21

Disclaimers

To the maximum extent permitted by law, the website, products, materials, and services are provided on an “as available” basis.

Bright Careers does not guarantee that:

  • The website will always be uninterrupted or error-free
  • A product will be compatible with every device, account, platform, or system
  • Every third-party integration will remain available
  • Automated outputs will always be accurate
  • A product will produce a particular financial, career, hiring, learning, operational, or business result
  • A customer will achieve a specific saving, income, promotion, sale, score, outcome, or level of performance
  • Use of a product will automatically satisfy legal or regulatory requirements

Examples, results, testimonials, time estimates, calculations, and performance statements are illustrative and are not guarantees of future results.

Bright Careers products and services provide general tools, educational information, templates, workflows, or support. They do not replace advice from a qualified lawyer, accountant, tax adviser, financial adviser, medical professional, data protection specialist, or other regulated professional.

22

Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, deliberate misconduct, or any other liability that applicable law requires to remain unlimited.

If you are a consumer, your mandatory legal rights remain unaffected.

To the maximum extent permitted by law, Bright Careers will not be liable for:

  • Indirect, incidental, special, punitive, or consequential loss
  • Loss of profit, income, savings, revenue, opportunity, or anticipated benefit
  • Loss or corruption of data
  • Reputational harm
  • Business interruption
  • Decisions made using customer-selected criteria
  • Losses caused by customer error or misuse
  • Losses caused by third-party platforms
  • Unauthorized access caused by the customer’s failure to secure an account
  • Claims arising from customer-provided content or data

For business customers, Bright Careers’ total liability arising from a particular order will not exceed the amount paid for that order.

For a recurring service, the total liability will not exceed the amount paid for that service during the twelve months immediately before the event giving rise to the claim.

These limits apply only to the extent permitted by applicable law.

23

Business Customer Indemnity

This section applies only where you purchase or use a product or service for business purposes.

You agree to be responsible for reasonable claims, losses, damages, and costs arising from:

  • Your unlawful use of a product or service
  • Unauthorized redistribution or resale
  • Infringement caused by content you provide
  • Your violation of another person’s privacy or intellectual property rights
  • Your breach of applicable law
  • Your material breach of these Terms

This responsibility does not apply to the extent that the claim was caused by Bright Careers’ own unlawful conduct, negligence, or breach of these Terms.

24

Suspension and Termination

We may suspend access, stop providing support, cancel an unfinished service, or terminate a license where you:

  • Fail to make a required payment
  • Materially breach these Terms
  • Share or resell products without authorization
  • Misuse the website or services
  • Threaten the security of our systems
  • Engage in fraud or unlawful activity
  • Use our products to cause unlawful harm or discrimination
  • Repeatedly abuse support or customer service

Where reasonably appropriate, we will provide notice and an opportunity to correct the breach.

Termination does not automatically create a right to a refund.

Terms relating to ownership, licenses, payment, confidentiality, prohibited use, disclaimers, liability, disputes, and any provision intended to continue will survive termination.

25

Events Outside Our Control

Bright Careers will not be responsible for delay or failure caused by events outside our reasonable control.

These may include:

  • Internet or hosting failures
  • Power outages
  • Cyberattacks
  • Natural disasters
  • War, civil unrest, or government restrictions
  • Platform outages
  • Payment-provider failures
  • Changes imposed by third-party providers
  • Labor disputes
  • Other events that could not reasonably be prevented

We will make reasonable efforts to reduce disruption and resume performance where practical.

26

Governing Law and Disputes

These Terms are governed by the laws applicable to Bright Careers’ place of business, except where mandatory law requires another law to apply.

If you are a consumer, this clause does not remove any mandatory consumer protection or jurisdiction right available in the country where you live.

Before beginning formal legal proceedings, both parties should first attempt in good faith to resolve the dispute through written communication using the Contact option available on brightcareers.co.

For business customers, the courts with jurisdiction over Bright Careers’ principal place of business will have jurisdiction, unless the parties agree otherwise in writing.

27

Changes to These Terms

We may update these Terms to reflect changes in:

  • Products or services
  • Technology
  • Business operations
  • Payment methods
  • Legal requirements
  • Security practices
  • Third-party platforms

The latest version will display an updated effective date.

Updated Terms generally apply to future website use and future purchases.

The Terms accepted when an order was placed will generally continue to govern that order unless:

  • A change is required by law
  • A change is necessary for security
  • The customer expressly accepts the updated Terms
  • The change does not materially reduce the customer’s rights

Material changes may also be communicated through the website, email, or another appropriate method.

28

General Terms

Entire Agreement

These Terms, the Privacy Policy, the Refund Policy, the applicable sales-page description, the checkout information, the order confirmation, and any written service scope form the agreement relating to your order.

Severability

If a provision is found unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue to apply.

No Waiver

A delay or failure to enforce a provision does not waive the right to enforce it later.

Assignment

You may not transfer your purchase, license, or rights under these Terms without written permission.

Bright Careers may transfer its rights and obligations as part of a sale, restructuring, incorporation, merger, or transfer of the business, provided that this does not materially reduce your rights.

Headings

Section headings are included for convenience and do not affect the interpretation of these Terms.

Language

Where these Terms are translated, the English version will apply to the extent permitted by law if there is a conflict between versions.
